We are looking for a Junior Lawyer for a 6 month contract with the possibility of extension!
Here's what you need to know about our Legal Team: We are a collaborative, dynamic team for all things “Legal” at BlueCat, seeking to add a bright motivated self-starter to our roster. We provide key support across the company, working closely with the sales, finance, people, marketing, and product departments, and the Executive Team. We keep the company humming effectively by consistently providing practical and efficient advice that is succinct, expedient, and comprehensive. This is a highly visible role at BlueCat and you will be working closely with an, bud getting to know employees companywide (and worldwide) at all levels of the organization while gaining a broad experience of the kinds of matters (legal and otherwise) which arise in an emerging industry on a day to day basis. .
Responsibilities:
- Draft, review, and negotiate commercial contracts with new and current clients, ranging from NDAs to Master Service Agreements and everything in-between;
- Assist on Procurement/ Vendor Agreements and corresponding process from intake to completion, as needed
- Support a variety of privacy and data security matters;
- Provide Corporate support including supervision over and assistance with Annual Filings, Insurance coverage, Equity and Shares, etc.
- Coordinate with internal subject matter experts on technology, intellectual property, corporate, and other legal matters as needed;
- Share general day-to-day legal advice as needed.
- Support appropriate approaches to dispute resolution and lawsuits, both independently and with the assistance of external counsel;
- Support the Legal team as needed;
Qualifications:
- Law degree and called to the Bar of a Canadian province/territory.
- 1-3 years of demonstrable commercial contract negotiation experience mandatory. In particular, negotiation of SaaS/Software contracts either in-house and/or at a law firm is a huge plus!
- Experience with/interest in privacy and intellectual property laws nice to have, but not mandatory
- Experience advising, or working in, a multinational company nice to have, but not mandatory
- Experience in M&A nice to have, but not mandatory
- Strong analytical and problem-solving skills with a solutions-oriented approach to challenges
- Comfort with developing and implementing process and procedures with and without precedent
- Self-starter with a strong level of ownership, attention to detail, intellectual curiosity, and excellent interpersonal communication skills
-Ability to work independently while also being a member of a highly functional team
